Terms of service

Agreement to these terms

These terms apply when you visit our website, create a workspace, subscribe to a plan, invite users, or use any part of OpsFlow Management. By registering or using the service, you confirm that you have read and accepted these terms and that you have authority to act for the business or organisation using the workspace.

Definitions

Account owner means the first administrator or the person later accepted by us as responsible for the workspace. Administrator means a user with permission to manage settings, users, billing and company information. Invited user means any employee, contractor or other person given access to a workspace. Customer data means information, documents, files, records and content entered into or uploaded to OpsFlow by you or your users. Service means the OpsFlow Management website, software, tools, APIs, documents, dashboards and related services we provide.

The service

OpsFlow provides online business management software for small businesses. Current and planned features may include calendar scheduling, CRM, inventory, quotes, invoices, job sheets, delivery notes, accounting views, payroll records, audit logs, email reminders, Stripe subscription billing, open banking feeds and future rental desk tools. Some features may be limited by plan, marked as beta, or unavailable until released.

Right to use OpsFlow

Subject to these terms and payment of any applicable subscription fees, we grant you a limited, non-exclusive, non-transferable right to access and use OpsFlow for your own lawful business purposes. You must not copy, resell, lease, sublicense, reverse engineer, attack, scrape, or misuse the service.

Accounts, users and permissions

You must provide accurate information and keep it up to date. You are responsible for keeping login details secure and for all activity carried out under your workspace. Administrators decide who can access the workspace and what permissions each invited user has. If there is a dispute about an invited user's access, the account owner or administrator controls access unless the law requires otherwise.

Your responsibilities

You are responsible for the data entered into OpsFlow, checking documents before sending or printing them, making sure customer details are correct, keeping passwords secure, training your users, using the service lawfully, and ensuring your business complies with tax, employment, privacy, data protection, accounting and industry rules that apply to you.

Trial and subscriptions

OpsFlow may offer a one-month free trial. Payment details may be required before the trial starts. Unless cancelled before the trial ends, the selected monthly subscription may begin automatically through Stripe. Plan features, prices, billing intervals and any restrictions are shown before checkout. Prices are shown in GBP unless stated otherwise and may be exclusive of VAT where applicable.

Payments and billing

Subscription payments are handled by Stripe or another payment provider we choose. You authorise us and our payment provider to charge the payment method linked to your account for subscription fees and agreed paid services. If payment fails, we may restrict, suspend or lock access until payment is resolved. You remain responsible for charges incurred by your workspace and users.

Plan changes and feature changes

We may add, improve, remove, rename, restrict or change features where needed for security, reliability, legal compliance, product improvement or commercial reasons. We will try to avoid removing core paid functionality without notice where practical. Future or beta features, including rental desk tools, may be changed or withdrawn before full release.

Accounting and tax disclaimer

OpsFlow can help record, organise and display business information, but it is not a replacement for professional accounting, payroll, legal, tax or financial advice. You are responsible for checking VAT, tax, payroll, invoices, reports, bank-feed information and filings with an accountant, bookkeeper, solicitor or adviser where needed.

Acceptable use

You must not use OpsFlow to break the law, infringe rights, send spam, upload malware, harass people, process data you have no right to process, attempt to access another workspace, bypass security, overload the service, interfere with availability, test vulnerabilities without permission, or carry out fraud or misleading business activity.

Customer data

You keep ownership of customer data you enter into OpsFlow. You give us permission to host, process, transmit, store, back up, display and use that data as needed to provide, secure, support and improve the service. You are responsible for ensuring you have the right to upload, store and process the data, including personal data about customers, employees, suppliers and contractors.

Data protection

Where we process personal data for you as part of providing OpsFlow, we will handle it in line with our Privacy Notice and GDPR information. You are normally the controller of the business data you add to the workspace, and we act as processor where we process that data for your business use of the service. You must not add special category data unless it is necessary for your lawful use and you have a valid basis to do so.

Confidentiality

Each party may receive confidential information from the other. Confidential information must be protected using reasonable care and must not be disclosed except where needed to provide the service, use the service, comply with the law, obtain professional advice, or with the other party's permission.

Third-party services

OpsFlow may connect to or rely on third-party services such as Stripe, Resend, Render, Cloudflare, Yapily, Google Maps, open banking providers, email services or analytics and security tools. Third-party services may have their own terms, privacy notices, limits, fees and outages. We are not responsible for third-party services outside our control.

Open banking and bank data

If open banking features are used, you authorise the relevant provider to connect to supported bank accounts and share account or transaction information with OpsFlow. Open banking features are intended for viewing and reconciliation support only unless we clearly state otherwise. You remain responsible for checking imported bank data and accounting treatment.

Email and reminders

Email reminders, invoice emails, quote emails and other notifications are provided to help your workflow. Delivery is not guaranteed because email depends on third-party providers, recipient systems, DNS configuration, spam filtering and internet availability. You remain responsible for checking important dates, deadlines, payments and customer communications.

Availability and changes

We aim to keep OpsFlow reliable, but we do not guarantee uninterrupted, error-free or permanently available access. Maintenance, updates, hosting issues, security incidents, third-party outages or internet problems may affect availability. We may update, suspend or change parts of the service where needed for maintenance, security, legal compliance or product improvement.

Suspension and termination

We may suspend, restrict or terminate access if payment fails, a trial ends without an active subscription, these terms are breached, security is at risk, data is unlawful, the service is misused, or we reasonably need to protect OpsFlow, customers or third parties. We will normally try to give notice where practical, unless urgent action is needed.

Cancellation

You may cancel your subscription using any billing management tool we provide or by contacting support. Cancellation normally stops renewal at the end of the current billing period. Your access and data handling after cancellation are explained in our Refund and Cancellation Policy.

Intellectual property

OpsFlow, the website, software, design, branding, workflows, templates, code, documentation and related materials belong to us or our licensors. You must not copy, reproduce, distribute or create competing services from any protected part of OpsFlow. Customer data remains yours as explained above.

Feedback

If you send us feedback, ideas or suggestions, we may use them without owing payment or obligation to you. We will not knowingly publish your confidential information as part of doing so.

Security

We use reasonable technical and organisational measures to protect the service. You must also use strong passwords, limit administrator access, remove users who no longer need access, keep devices secure and tell us promptly if you suspect unauthorised access.

Liability

Nothing in these terms limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or other liability that cannot legally be limited. Subject to that, OpsFlow is business software and we are not responsible for indirect loss, loss of profit, loss of revenue, loss of business, loss of goodwill, loss caused by inaccurate data entered by users, third-party service failures, customer failure to check documents or reports, or decisions made using information in the service.

Limit of liability

Subject to the paragraph above and to the fullest extent permitted by law, our total liability relating to the service is limited to the subscription fees paid by you for the affected workspace in the three months before the event giving rise to the claim.

Indemnity

You agree to reimburse us for reasonable losses, claims, costs and expenses caused by your unlawful use of OpsFlow, your breach of these terms, your customer data, or your failure to obtain rights or permissions needed for data you upload or process through the service.

Notices

We may send notices by email, in-product message, website notice or to the contact details on your account. You should keep your account and billing contact details up to date.

Changes to these terms

We may update these terms from time to time. If changes are material, we will take reasonable steps to notify account owners or administrators. Continued use of OpsFlow after changes take effect means the updated terms apply.

Region and currency

The public website is prepared for the United Kingdom. Prices are displayed in GBP. If OpsFlow is offered in other regions later, separate tax, currency, consumer and legal terms may apply.

Governing law

These terms are governed by the laws of England and Wales, unless mandatory law requires otherwise. The courts of England and Wales will have jurisdiction, subject to any rights you cannot waive by law.
